1. YOUR AGREEMENT WITH AGRODREAMS

1.1 “Agrodreams App,” a multi-platform application (web and mobile) designed for producers and companies in the agricultural ecosystem, consists of two modules:

• Agrodreams (BI): Big data and artificial intelligence applied to farmer data to generate business metrics and trends, consumption patterns, and identification of commercial drivers. Interactive and customizable management dashboards for dynamic visualization of results by hierarchical levels of the corporation.
• Agrodreams (PI): A production management module. Integration and fusion of data and images, machine learning models, and computer vision to make decisions with accurate and timely information about the causes that limit and reduce crop quality and yield.

1.2 The Agrodreams App platform will be offered, promoted, and marketed by Agrodreams and/or its commercial partners (affiliated, associated, and commercial alliance companies), who will act as “Authorized Distributors.”

1.3 Agrodreams grants you a license to download and use the Agrodreams App; and related documentation (whether in printed or electronic form). This user license includes all types of improvements, modifications, corrections, updates, and future versions (“Updates”).

1.4 The usage and payment method for the Agrodreams App is through the “Commercial Plans” system.

1.5 The Commercial Plans, defined by their features, content, benefits, scope, restrictions, and fees that are in effect for a given region and date, constitute an integral part of this Agreement between Agrodreams, the Authorized Distributors, and the End User.

1.6 The “Agrodreams Website” refers to www.agrodreams.com, which is owned by Agrodreams, and any other website authorized by Agrodreams that links to these Terms and Conditions.

1.7 “Agrodreams” refers to the company Agrodreams, a trademark of LAISHI GROUP S.A., Avenida Madero 900, 24th Floor, (AFB 1001) Autonomous City of Buenos Aires, Argentina. Phone: +54 11 393 3466 /67 /68. E-mail: soporte@agrodreams.com.

1.8 “You” refers to the End User, the registered owner of the Agrodreams database and the license holder of the Agrodreams App.

1.9 The adhesion agreement between the End User and Agrodreams consists of the clauses and conditions set forth, along with the reasonable use policies described herein, collectively the “Terms and Conditions.”

2. ACCEPTANCE OF CONDITIONS

2.1 To download and use the Agrodreams App platform from the “Agrodreams.com,” “Apple Store,” or “Google Play” websites, the User must first accept these Terms and Conditions. You accept these Terms and Conditions: (a) when you download and use the Agrodreams App platform or the Agrodreams Website; (b) when you click to accept the Terms and Conditions for using the application. We recommend that you print a copy of these Terms and Conditions for your records. These Terms and Conditions will remain in effect from the date of acceptance until you or Agrodreams terminate them as set forth in Section 11.

2.2 You cannot accept these Terms and Conditions if: (a) you are not legally authorized to use the Agrodreams App or the Agrodreams Website in the country where you reside; or (b) you are not of legal age to enter into a binding commercial agreement with Agrodreams.

2.3 In some countries, the Agrodreams App platform may be marketed by an Authorized Distributor. In such a case, the Authorized Distributor may require you to accept their own Terms and Conditions of service (“Local Terms and Conditions”). If there is a discrepancy between the Local Terms and Conditions and these Terms and Conditions, the Local Terms and Conditions will prevail with respect to that discrepancy.

3. MODIFICATION OF CONDITIONS

3.1 Agrodreams may modify these Terms and Conditions. Agrodreams will post the modifications on www.agrodreams.com. The modifications to the Terms and Conditions will be published on the corresponding Agrodreams Website. The modifications will take effect from their publication. Please check the Terms and Conditions periodically. You understand and agree to your express acceptance of the modified Terms and Conditions by downloading and using the Agrodreams App platform. If you do not accept the modified Terms and Conditions, you may terminate your relationship with Agrodreams as set forth in Section 11 of this Agreement, below.

4. LICENSE

4.1 License. Subject to compliance with these Terms and Conditions, Agrodreams grants you a license to download, install, and use the Agrodreams App on one or more personal computers (notebooks, tablets, etc.) or other mobile devices. The license is unlimited, non-exclusive, and subject to the contracted Commercial Plan, and cannot be sub-licensed or assigned without the express written authorization of Agrodreams.

4.2 Restrictions. As an End User, you cannot and agree not to do the following:

(a) Sub-license, sell, assign, rent, lease, export, import, distribute, or transfer or grant rights of any kind to third parties of the Agrodreams App.

(b) Perform, cause, allow, or authorize the modification, creation of derivative works or improvements, translation, reverse engineering, decompilation, disassembly, decoding, emulation, discovery or intention to discover the source code or the software protocols or any of its parts or features of the Agrodreams App platform.

(c) Remove, conceal, or alter any intellectual property notice or other proprietary notices included in the Agrodreams App platform.

5. USE OF AGRODREAMS SOFTWARE AND WEBSITES

5.1 Use and Operation. Having an active user account (e-mail) on the Agrodreams Website or in the Agrodreams App, and having accepted these Terms and Conditions is a necessary condition for the Use and operation of the Agrodreams App. The features, content, benefits, scope, restrictions, and fees for the use and operation of the Agrodreams App are defined in the different “Commercial Plans,” valid for a given region and date.

5.2 Equipment. To use the Agrodreams App platform, you will need to have a computer or mobile device with an Internet connection if you want to access all its capabilities. When you do not have Internet access, the Agrodreams App will work in Offline mode, with limited capabilities. It is your responsibility to provide all necessary equipment and Internet access.

5.3 Software Updates. Agrodreams may remotely check your software version and can automatically download configuration changes and software Updates for the application periodically. You may be asked to update the software to continue using the Agrodreams App. You agree to accept these updates in accordance with these Terms and Conditions unless other conditions accompany the version Updates. Agrodreams has no obligation to make any Updates available and does not guarantee that we will continue to support the version of the operating system or device for which the platform was licensed, nor that the updated software will be compatible for use by End Users who have older versions of the operating system or browser installed on their devices. Updates may be necessary to maintain software compatibility, provide security updates or bug fixes, or offer new features, functionality, or versions.

5.4 Suspension, Technical Improvements, and Maintenance. Occasionally, Agrodreams may need to update or perform maintenance on the platform or the Agrodreams Websites or the underlying infrastructure that allows you to use the Products, Platform, and/or Agrodreams Websites. To do this, it may be necessary for Agrodreams to temporarily suspend or limit the use of part or all of the Platform and/or Agrodreams Websites until the maintenance or update can be completed. As far as possible and unless an urgent intervention is required, Agrodreams will post the time and date of such suspension or limitation on the Agrodreams Website in advance. You will not be entitled to claim damages due to such suspension or limitation of the use of any Product, Platform, or Agrodreams Website.

5.5 Flight Plans and Images. Agrodreams and its local partners (Authorized Distributors) do not endorse or take responsibility for the location and content of the flight plans that are generated in the Agrodreams App, nor for the location and content of the images processed by the Agrodreams App. By using the Application, you agree that the flight plans that are generated and the images that are processed in the Agrodreams App may be stored on Agrodreams’s own or contracted servers, in order to safeguard the information for you, Agrodreams, and, when applicable, for control and verification by the Aeronautical Authorities of the Country. Agrodreams reserves the right to save and review content submitted through the Agrodreams App platform and the Agrodreams Websites in order to enforce these Terms and Conditions. Agrodreams may, at its sole discretion, partially or totally limit or block the operation of the Agrodreams App platform and the Agrodreams Website, as part of its effort to comply with the laws of the country, these Terms and Conditions, or to protect the Agrodreams App or the Agrodreams Website. The following are rules that apply to your conduct and content while using the Agrodreams App platform or the Agrodreams Website:

(a) Do not use the Products, the Platform, or the Agrodreams Website to do anything illegal. The user of the Agrodreams App is responsible for their actions and the consequences of their actions. (b) Do not upload, process, download, or share inappropriate images (for example, bestiality, nudity, or pornography). (c) Do not upload or share images or engage in activities that exploit or harm children. (d) Do not engage in false or misleading activities. (e) Do not engage in activities that are harmful to the Agrodreams App platform or the Agrodreams Website or their users (for example, spreading viruses, harassment, participating in hate speech, or inciting violence against third parties). (f) Do not infringe on the rights of third parties. (g) Do not engage in activities that violate the privacy of third parties. (h) Do not evade, disable, or otherwise interfere with the security-related features of the Agrodreams App platform or the Agrodreams Website, or with features that prevent or restrict the use of any content.

5.6 Notice and Removal. If you do not comply with your obligations, you may lose access to your User Account or it may be canceled from the Agrodreams App platform or the Agrodreams Website. If Agrodreams is notified that any material you submit, upload, modify, organize, share, or publish on the Agrodreams Website or through the Agrodreams App platform is inappropriate or infringes on any third-party rights, Agrodreams reserves the right to limit or partially or totally block the operation of the Agrodreams App. The action of partially or totally limiting or blocking the operation of the platform will be done without any acknowledgment of liability and without prejudice to any right, legal remedy, or defense, all of which are expressly reserved. You acknowledge and agree that Agrodreams has no obligation to restore the full operation of the Agrodreams App platform at any time. Agrodreams reserves the right to request verification of your identity. Any information provided by the user that is false, misleading, or incorrect may result in civil or criminal liability.

5.7 Service Quality. Agrodreams cannot guarantee that the Agrodreams App platform and the Agrodreams Website will function without interruptions, delays, or errors. A variety of factors can affect the quality of your communications and your use of the Agrodreams App and/or the Agrodreams Website. Agrodreams will not be liable for any difficulty, interruption, or delay caused by failures or insufficiency in the Agrodreams App platform’s Internet communication.

5.8 Modifications to Products and Software. Agrodreams is continuously improving the Agrodreams App platform and the Agrodreams Website and can change them at any time. In addition, there are reasons why Agrodreams may stop providing the Agrodreams App platform and the Agrodreams Website, including (but not limited to) that we are no longer able to provide them; that technological advancements, customer feedback, or some other reason indicates that a change is necessary; that external issues that arise make it unwise or impractical to continue with their provision or maintenance, or any other reason set forth in Section 11.2. As a result of such changes, you may need to use an updated version of the computer’s Operating System or Browser. You acknowledge and agree that the Agrodreams App platform may be subject to usage limits or geographical restrictions, which may vary periodically.

5.9 Unsolicited Ideas. If you send Unsolicited Comments to Agrodreams through the Agrodreams Website or another means, you acknowledge and agree that Agrodreams will not be obligated to maintain the confidentiality with respect to the Unsolicited Comments.

5.10 Reports and Suggestions. Certain parts of the Agrodreams Websites or the Agrodreams App may request written suggestions or problem reports (“Reports”). The Reports will be considered the property of Agrodreams. Agrodreams will be the exclusive owner of all current or future rights to the Reports in perpetuity worldwide and will have the right to use the Reports for any purpose (commercial or not) without obligation to grant compensation to the provider of the Reports. In no case will the Reports you submit to Agrodreams be treated as confidential, nor will Agrodreams be responsible for the disclosure of said Reports.

6. YOUR OBLIGATIONS

6.1 User Account. Before you use the Agrodreams App platform for the first time, you will be asked to create a User Account and choose a username and password. We recommend that you choose a password that is difficult to guess and has letters, numbers, and symbols. You are solely responsible for all activities carried out through your User Account. To prevent unauthorized use, you must keep your password confidential and may not share it with third parties or use it to access third-party websites or services. If you suspect that someone else knows your password, you must change it immediately to protect the security of your User Account. Agrodreams is not responsible for the misuse of your User Account in the event that you do not comply with the obligations set forth in paragraph 6.2.

6.2 Lawful Use. In some regions or countries, there are restrictions on the use of unmanned aerial vehicles (drones). You must use the drone flight mission planning and execution functionality of the Agrodreams App platform in accordance with the current laws of the place or geographical area where you will operate. It is your sole responsibility to ensure that the civil use of unmanned aerial vehicles (drones) is legally permitted in the place or area of operation and to comply with all applicable aeronautical regulations for that country.

6.3 Prohibited Use. You may not:

(a) intercept or control, damage, or modify any part of the Agrodreams App platform; (b) use any type of spider, virus, worm, Trojan horse, time bomb, or any other instruction or other code designed to distort, delete, damage, emulate, or disassemble the Agrodreams App platform, communication, or protocols; (c) use the Agrodreams App platform or the Agrodreams Website to cause or attempt to cause embarrassment or distress, or threaten, harass, or invade the privacy of third parties; (d) use material or content subject to any third-party property rights, unless you have a license or permission granted by the owner of such rights; (e) collect or gather any type of information that can identify the user, including account names, from the Agrodreams App platform or the Agrodreams Website; (f) affect or attempt to affect the availability of the Agrodreams App platform or the Agrodreams Website; for example, through a denial of service (DOS) or distributed denial of service (DDoS) attack; (g) use or run any automated system, including, but not limited to, robots, spiders, or offline readers that have access to the Agrodreams App platform or the Agrodreams Website. Notwithstanding the foregoing, you agree that Agrodreams grants public search engine operators permission to use spiders to copy materials from the Agrodreams Website for the sole purpose of creating search indexes of publicly available materials, but not caches or archives of such materials. Agrodreams reserves the right to revoke these exceptions at any time.

6.4 Your Information. Occasionally, Agrodreams may request personal and/or commercial information from you for the purpose of providing you with new Products or Services. You must ensure that the information provided is complete, up-to-date, and correct.

6.5 Unauthorized Sale. The Agrodreams App platform is for personal use. As an end user, you may not sell or commercialize the Agrodreams App platform to third parties, unless you have written authorization from Agrodreams.

6.7 Export Restrictions. The use of the Agrodreams App platform may be subject to international rules governing the export of products and software. You must comply with all current national and international laws that apply to the Software, as well as the destination, end-use, and end-user restrictions issued by national governments or international bodies.

7. COPYRIGHTS

7.1 Agrodreams retains exclusive ownership of the Agrodreams App platform and its Accounts on the Agrodreams Website, and all intellectual property arising from them (whether registered or not, anywhere in the world). You may not take any action that puts at risk, limits, or interferes with the intellectual property rights of the Agrodreams App platform and the Agrodreams Website.

7.2 The Agrodreams App platform and the Agrodreams Website contain confidential and proprietary information of Agrodreams that is protected by intellectual property treaties and laws.

7.3 The content and collection of the content included in the Agrodreams App platform and the Agrodreams Website, such as sounds, texts, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Agrodreams and are protected by US and international intellectual property laws. Said content protected by intellectual property laws cannot be reproduced without the express permission of Agrodreams. Agrodreams reserves all rights not expressly granted on the Agrodreams App platform and the Agrodreams Website.

7.4 Agrodreams, the related trademarks, and logos are trademarks of Agrodreams. Agrodreams has registered, filed, and will file applications to register trademarks in various countries around the world. The trademarks and brand images of Agrodreams cannot be used in connection with any product or service that does not belong to Agrodreams, in any way that may create confusion among customers, or discredit or disparage Agrodreams. All other trademarks that do not belong to Agrodreams or its related companies that appear on this site belong to their respective owners. You cannot and should not register or use any trade name, trademark, logo, domain name, or other names or signs that incorporate any of Agrodreams’s intellectual property rights (in whole or in part) or that are similar, unless you have written authorization granted by Agrodreams.

8. CHARGES 

8.1 Service Fees. The prices to be charged and the method of payment for the Services offered by Agrodreams and its local partners (Authorized Distributors) are defined in the Commercial Plans and must be confirmed by you before completing the purchase.

8.2 Differential Service Fees. Agrodreams and its local partners (Authorized Distributors) may apply differential fees for the Services it provides on the Agrodreams App platform based on: geographical regions, user types, time of year, or features and composition of the Commercial Plans.

8.3 Promotional Offers. Agrodreams and its local partners (Authorized Distributors) may offer the Agrodreams App services for free or at a promotional price for a determined period of time, as a commercial strategy, test, or promotional policy. Agrodreams and its local partners (Authorized Distributors) reserve the right to charge for such services once the term of the Promotional Offer has expired, and/or when Agrodreams and its local partners (Authorized Distributors) define a new commercial strategy.

8.4 Price Changes. Agrodreams and/or its local partners (Authorized Distributors) may change the rates of the Commercial Plans for the Services at any time and without prior notification. You can choose to accept or not accept the new prices before completing the next purchase of services. The new prices will apply to your next purchase after the new Commercial Plan rates have been published and the minimum subscription period established in the contracted Commercial Plan has been met.

8.5 Taxes. Agrodreams and its local partners (Authorized Distributors) may charge Value Added Tax (VAT) or other indirect taxes at the corresponding rate (according to the current tax regulations in the country of destination) at the time of purchasing a Commercial Plan. These charges may be charged to the prepaid card (credit or debit card) at the time of purchase. You explicitly waive all rights to a VAT refund from Agrodreams and/or its local partners (Authorized Distributors).

9. PAYMENT

9.1 Payment Method. For the service of using the Agrodreams App platform, you can pay for the purchase of Commercial Plans using any payment method accepted by the Agrodreams Website or that of its local partners (Authorized Distributors).

9.2 Recurring Payments. If the payment for the Commercial Plan is made monthly, quarterly, or annually (as applicable), you acknowledge and agree that it is a recurring payment and that the payments must be made to Agrodreams or its local partners (Authorized Distributors) automatically using the method you have chosen, at the recurring intervals you have chosen, until you or Agrodreams cancel the Commercial Plan that you have purchased

10. REFUND POLICY 

10.1 Improper Charges. If you believe that Agrodreams or its local partners (Authorized Distributors) has charged you in error, you must contact Agrodreams or its local partners (Authorized Distributors) within 90 days of the charge being made. No refunds will be made if more than 90 days have passed since the charge.

10.2 Refund Policy. Agrodreams or its local partners (Authorized Distributors) will refund you for improper charges that have been claimed in a timely manner. Agrodreams reserves the right to reject a refund request if it reasonably believes: (i) that you do not comply with these Terms and Conditions; or (ii) if Agrodreams reasonably suspects that you are using the Agrodreams App platform fraudulently or that your User Account is being used fraudulently by third parties.

11. TERMINATION OF YOUR RELATIONSHIP WITH AGRODREAMS

11.1 Termination of Service. You may terminate your relationship with Agrodreams at any time and without resorting to the courts by requesting the closure of your User Account, ceasing to use the platform, unsubscribing as a User of the Agrodreams App and the Agrodreams Website, and canceling all outstanding recurring payments.

11.2 Agrodreams may terminate its relationship with you or terminate or suspend your use of the Agrodreams App platform, User Account(s), and the Agrodreams Website at any time and without resorting to the courts in the following cases:

(a) if you do not comply with these Terms and Conditions; (b) if Agrodreams reasonably suspects that you are using the Agrodreams App platform or the Agrodreams Website and do not comply with the laws or violate the rights of third parties; (c) if Agrodreams reasonably suspects that you are attempting to unfairly exploit or misuse the refund policy or any of our policies; (d) if Agrodreams reasonably suspects that you are using the Agrodreams App platform or the Agrodreams Website fraudulently or that your User Account is being used by third parties fraudulently; (e) immediately, if a change in laws/regulations by a regulator or legal authority requires it.

11.3 Agrodreams will put such termination into effect by preventing you from accessing your User Account, the Agrodreams App platform, or the Agrodreams Website (as applicable).

11.4 Consequences of Termination. Once your relationship with Agrodreams has been terminated: (i) all licenses and rights related to the use of the Agrodreams App platform or the Agrodreams Website will terminate immediately, (ii) you will immediately cease all use of the Agrodreams App and the Agrodreams Website, and (iii) you will uninstall the Agrodreams App, notifying Agrodreams in writing that you have done so.

12. DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, AND INDEMNIFICATION

12.1 For the purposes of the Disclaimer of Warranties, Limitation of Liability, and Indemnification, Agrodreams includes its affiliated, controlled, controlling, related, and allied companies with signed commercial agreements, authorized distributors, other affiliated legal entities, and all of their directors, executives, agents, licensors, and employees.

12.2 No Warranties. TO THE EXTENT PERMITTED BY APPLICABLE LAWS: THE AGRODREAMS APP PLATFORM AND THE AGRODREAMS WEBSITES ARE PROVIDED ON AN “AS IS” BASIS WITH ALL RISKS ARISING FROM USE WITHOUT WARRANTIES OF ANY KIND, UNLESS OTHERWISE PROVIDED IN WRITING. AGRODREAMS MAKES NO WARRANTIES, ASSERTIONS, OR REPRESENTATIONS AND EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPLICIT, IMPLIED, STATUTORY, IN RELATION TO THE AGRODREAMS APP PLATFORM AND THE AGRODREAMS WEBSITES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OR CONDITIONS OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR USE IN PARTICULAR PURPOSES. ALSO, AGRODREAMS DOES NOT REPRESENT OR WARRANT THAT THE AGRODREAMS APP PLATFORM AND THE AGRODREAMS WEBSITES WILL ALWAYS BE AVAILABLE, ACCESSIBLE, AND COMPLETE, NOR THAT THEY WILL BE SECURE OR ACCURATE. IT ALSO DOES NOT REPRESENT OR WARRANT THAT THEY WILL NOT SUFFER INTERRUPTIONS OR DELAYS OR THAT THEY WILL BE FREE OF ERRORS OR THAT THEY WILL FUNCTION WITHOUT PACKET LOSS. AGRODREAMS ALSO DOES NOT GUARANTEE CONNECTIONS OR TRANSMISSIONS TO OR FROM THE INTERNET.

12.3 Disclaimer of Liability. YOU ACKNOWLEDGE AND AGREE THAT AGRODREAMS WILL HAVE NO LIABILITY WHATSOEVER, WHETHER IN A CONTRACT, A TORT (INCLUDING NEGLIGENCE), OR ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE POSSIBILITY OF SUCH DAMAGE OR SUCH LOSS HAS BEEN NOTIFIED TO AGRODREAMS, ARISING FROM OR RELATED TO YOUR USE OF THE AGRODREAMS WEBSITES OR THE AGRODREAMS APP PLATFORM. YOUR SOLE RIGHT OR LEGAL REMEDY FOR ANY PROBLEM OR DISSATISFACTION WITH THE AGRODREAMS APP PLATFORM AND THE AGRODREAMS WEBSITES IS TO UNINSTALL AND STOP USING THE AGRODREAMS APP AND THE AGRODREAMS WEBSITES IMMEDIATELY.

12.4 Limitation of Liability. Agrodreams will not be liable to you, whether in a contract or a tort (including negligence) or under any other theory of liability, and whether or not the possibility of such damage or such loss has been notified to Agrodreams, for:

(a) any indirect, special, incidental, or consequential damage; (b) any loss of income, business opportunities, current or anticipated profits, opportunities, commercial goodwill, or reputation (whether direct or indirect); (c) any damage or alteration of data (whether direct or indirect).

12.5 If a third party files a claim against Agrodreams that is related to (i) your breach of these Terms and Conditions; (ii) your breach of any applicable law or regulation; (iii) your violation of the rights of third parties (including intellectual property rights), you will indemnify and hold Agrodreams harmless from damages, liabilities, losses, charges, and expenses (including legal expenses and fees) related to said claim.

13. THIRD-PARTY WEBSITE PRODUCTS AND SERVICES

13.1 The Agrodreams Platform and Websites may include hyperlinks to other third-party websites. Agrodreams is not responsible for such third-party websites or the availability of such websites, nor does it endorse any content or material on said third-party websites. Your use of each of these third-party websites is subject to the clauses and conditions published on the corresponding website.

14. CONFIDENTIALITY, SECURITY, AND PRIVACY OF YOUR INFORMATION

14.1 Agrodreams is committed to preserving the security and integrity and to respecting the privacy and confidentiality of all your personal information, in full accordance with the provisions of the Agrodreams Security and Privacy Policies. The same treatment will be given to the data and comments manually entered by you, geo-reference and positioning data (latitude and longitude), data generated by hyper-localized sensors in the field (Internet of Things – IoT), monitors and sensors of precision farming machines and equipment, as well as images taken by any means (cell phone, drone, satellite, etc.), uploaded to the Agrodreams App platform and/or the Agrodreams Website.

14.2 Agrodreams may share the personal and any other type of sensor data and information collected by the Agrodreams App among the companies of its economic group and its commercial allies, including affiliated, controlled, controlling, and related companies, and allied companies with signed commercial agreements, for strictly internal use, in full accordance with the provisions of the Agrodreams Privacy Policy.

14.3 Agrodreams, the companies of its economic group and its commercial allies, including affiliated, controlled, controlling, and related companies, and allied companies with signed commercial agreements, commit not to disclose, transfer, commercialize, and/or allow third-party access to this data and information, in full accordance with the provisions of the Agrodreams Privacy Policy (see our Security and Privacy Policies).

16. MISCELLANEOUS PROVISIONS

16.1 You agree to the use of electronic communication for the conclusion of contracts, the placing of orders and the creation of other records, as well as for the electronic distribution of notifications, policies, terms and conditions, changes to them and records of transactions with Agrodreams.

16.2 These Terms and Conditions constitute the entire agreement between you and Agrodreams with respect to your use of the Agrodreams App platform or the Agrodreams Website.

16.3 If any court or administrative body of competent jurisdiction or an arbitrator determines that any of the provisions of these Terms and Conditions (or part thereof) is illegal, invalid or unenforceable, such provision (or part thereof) will be removed from the Terms and Conditions without affecting the legality, validity or enforceability of the rest of the Terms and Conditions.

16.4 Agrodreams’s failure to exercise, or delay in exercising, a right or remedy provided for by these Terms and Conditions or by law will not constitute a waiver by Agrodreams of such right or remedy. If Agrodreams waives a claim for a breach of these Terms and Conditions, it will not constitute a waiver of a claim for subsequent breaches of the Terms and Conditions.

16.5 You may not assign these Terms and Conditions or any rights or obligations they include. Agrodreams may, without prior notice, assign these Terms and Conditions or any rights or obligations they include to third parties.

16.6 You acknowledge and understand that if Agrodreams is unable to provide the Agrodreams App platform or the Agrodreams Website as a result of a force majeure situation, Agrodreams will not be in breach of any of its obligations to you under these Terms and Conditions. A force majeure situation refers to any event beyond Agrodreams’s control.

YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THESE CONDITIONS AND UNDERSTAND THE RIGHTS, OBLIGATIONS, CLAUSES, TERMS, AND CONDITIONS STIPULATED HEREIN. BY SIGNING OR BY CLICKING THE “ACCEPT” BUTTON AND THEN INSTALLING THE AGRODREAMS APP PLATFORM OR THE AGRODREAMS WEBSITE, YOU EXPRESSLY AGREE TO BE GOVERNED BY THE CLAUSES, TERMS, AND CONDITIONS, AND TO GRANT AGRODREAMS THE RIGHTS SET FORTH IN THESE TERMS AND CONDITIONS.
